Terms of service and of sale

These terms govern the use of Meritt, a service for tracking and managing affiliate programmes. By creating a workspace, you accept them.
1. What the service does
Meritt records the visits your affiliates bring, attributes the sales you report to us, keeps the ledger of commissions owed, and initiates the matching transfers from your own payment accounts. It also produces the accounting documents that go with those transfers.
2. Funds never pass through us
The PayPal and Wise accounts used to pay your affiliates are yours. You grant us a technical authorisation that allows a transfer to be initiated on your behalf, from your balance to your affiliate's. At no point are funds held, received or carried by Meritt.
Accordingly, Meritt is neither a payment institution nor a money transmitter, and does not act as a financial intermediary. Your payment provider's terms apply to every transfer, including its timings, its fees and its grounds for refusal.
3. Access to your payment account
To attribute your sales, Meritt connects to the payment account you designate — Stripe, PayPal or another. That access serves two things, and two only:
- Reading your sales: the amount, the currency, the date, the payment reference and the tracking identifier your checkout passes to us. That is what allows a sale to be tied to an affiliate and their commission to be calculated.
- Creating the discount codes you ask for, when you choose to assign a code to an affiliate, and disabling them when you withdraw it.
Meritt creates no payment, issues no refund, changes none of your prices or products, and initiates no transfer from that account. The technical scope your provider shows at the moment of authorisation — "read and write" at Stripe — is the one it imposes: it offers no narrower scope until it has opened one on our platform account. What we do with it is what is described above, and it is verifiable: you see every object Meritt creates in your own dashboard, marked in its name.
You can revoke that access at any time from your provider, without telling us. Tracking then stops, the data already recorded stays, and the commissions already owed remain owed.
4. Your obligations
- You report sales accurately, and you correct what has to be corrected — a refund, a cancellation, a fraud.
- You are responsible for the terms you offer your affiliates, for the amount of the commissions, and for honouring your commitments to them.
- You do not divert the service to follow people for purposes other than attributing your own sales.
- You hold the rights needed over the domain you ask us to serve, in mode A as in mode B.
5. What we owe
We use reasonable means to keep the service available and accurate. We do not guarantee that every visit will be attributed: a visitor may refuse cookies, change device, or come through an environment that nothing can tie to a later sale. No affiliate platform can guarantee otherwise, and those that announce one are quoting a figure they do not measure.
The commission ledger is kept insert-only: a correction is a further entry, never an edit. That is what makes the history stand up.
6. Subscription, billing, termination
The Starter plan is free until your first commission. The Pro ($49 per month) and Business ($99 per month) plans are billed in advance, monthly or yearly, and collected by our payment provider. No percentage is taken on your revenue, on your affiliates' commissions, or on the transfers you send them.
You can terminate at any time; the subscription runs to the end of the period already paid for and is not refunded pro rata. If payment fails, what stops is the sending of transfers. Tracking keeps working: cutting it would break the links your affiliates have published and would penalise third parties for a dispute that is not theirs.
7. Your data is yours
Affiliates, clicks, sales, ledger entries and documents can be exported at any time, and remain exportable for a reasonable period after termination. We sell no data, and we do not use one workspace's data to serve another.
8. Suspension
We may suspend a workspace used for unlawful activity, to circumvent a security measure, or to follow people outside the attribution of sales. We give notice before suspending, except where the law or urgency forbids it.
9. Liability
Our liability is limited to the sums you have paid us over the twelve months preceding the triggering event. We do not answer for the sums you owe your affiliates: those are owed by you, under the contract that binds you to them.
10. Changes to these terms
Any substantial change is announced by email at least thirty days before it takes effect. Continuing to use the service after that date counts as acceptance.
11. Governing law
These terms are governed by the law applicable at the publisher's registered office. Any question may be sent to [email protected] before any other recourse.
